1. Acceptance of Terms

By accessing or using X Assure services provided by eDesk Inc. ("Company," "we," "our," or "us"), including X Assure VA, X Assure Voice, X Assure Books, and X Assure AI (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

2. Description of Services

X Assure provides an integrated platform for insurance agencies, including:

• X Assure VA: Insurance-trained virtual assistant services for administrative and operational support
• X Assure Voice: AI-powered receptionist and call handling services
• X Assure Books: Financial management and bookkeeping solutions for insurance agencies
• X Assure AI: AI-powered tools for document analysis, policy comparison, and coverage intelligence

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your login credentials confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

4. Subscription and Payment

4.1 Pricing

Our Services are offered on a subscription basis. Current pricing is available on our website. We reserve the right to modify pricing with 30 days' notice.

4.2 Free Trial

We may offer a free trial period for certain Services. At the end of the trial, your subscription will begin unless you cancel before the trial expires.

4.3 Billing

Subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in these Terms or required by law.

4.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

5. Acceptable Use

You agree not to:

• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services or servers
• Reverse engineer or decompile any part of the Services
• Use the Services to compete with X Assure
• Share account credentials with unauthorized users
• Upload content that infringes intellectual property rights
• Harass, abuse, or harm our staff or virtual assistants

6. Virtual Assistant Services

For X Assure VA services:

• Virtual assistants are employees of X Assure, not your direct employees
• You may not recruit or hire our virtual assistants during or within 12 months after service termination
• VAs work during agreed-upon hours and schedules
• You are responsible for providing clear instructions and access to necessary systems
• We reserve the right to reassign VAs with reasonable notice

7. AI Services and Document Processing

For X Assure AI and document processing services:

• AI analysis is provided for informational purposes and should be verified by qualified professionals
• We do not guarantee 100% accuracy of AI-generated insights
• You retain ownership of documents you upload
• We may use anonymized, aggregated data to improve our AI models
• You are responsible for ensuring you have rights to upload documents

8. Intellectual Property

8.1 Our Property

The Services, including all software, content, trademarks, and technology, are owned by X Assure and protected by intellectual property laws. You receive a limited, non-exclusive license to use the Services during your subscription.

8.2 Your Content

You retain ownership of content you upload. By using our Services, you grant us a license to process, store, and analyze your content solely to provide the Services.

9. Confidentiality

We treat your data as confidential and will not disclose it except as described in our Privacy Policy. You agree to keep our proprietary information, including pricing and system details, confidential.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, X ASSURE AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless X Assure and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

13. Termination

We may suspend or terminate your access to the Services if you:

• Violate these Terms
• Fail to pay fees when due
• Engage in fraudulent or illegal activity
• Create risk or legal exposure for us

Upon termination, your right to use the Services ceases immediately. We will provide reasonable opportunity to export your data.

14. Dispute Resolution

Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in [State], and the decision shall be final and binding. You waive any right to participate in a class action lawsuit.

15. Governing Law
